Program:
OptimizingAudience reserves the right to make changes to the program at any time without notice.
Recording, including audio, video and screen capture is not allowed during training.

Promotions and Offers:
We reserve the right to change, cancel and limit any promotion or offer.
We reserve the right to refuse to provide suggestions and / or promotions to certain individuals or organizations at our discretion.

Proposals:
The terms of the offer shall be valid for thirty (30) days after being presented to the customer, unless stated otherwise in writing.
In the event that no agreement is executed by the Client within a specified time, the Offer, together with all applicable terms and conditions, may be subject to amendment, change or replacement.
Fees:
In consideration for products provided or services made by OptimizingAudience, Customer shall pay for the optimization of fees and expenses in amounts and in accordance with the Payment Schedule and all applicable sales, use or value documents, even if calculated or assessed after the Payment Schedule.
Terms of Payment:
Payment terms will be included in the offer or invoice. All invoices will be paid differently within fourteen (14) days of receipt. A monthly service fee at the rate of 1.5% is paid on all the balances that are repayable.
Payments will first be credited to postpay and unpaid balance. Customer will be responsible for any collection or fees required by delay or default in payment. OptimizingAudience reserves the right to withhold the delivery and transfer of ownership of any current work, whether the accounts are not current or invoices that are due in full. All grants of any license to use or transfer ownership of any intellectual property rights under this Agreement are subject to receipt of a full payment, which shall include any and all additional costs, taxes, expenses and charges, charges or costs of any changes.
Warranties and Representations:
Except for the express representations and statements set out in this Agreement, OptimizingAudience is not obligated at all. OptimizingAudience expressly disclaims any other warranties of any kind, either express or implied, including but not limited to warranties of merchantability or fitness for a particular purpose or compliance with applicable laws or regulations or regulations applicable to the product or services.
Indemnification/Liability:
OptimizingAudience’s products and services are sold “as is”. In all circumstances, OptimizingAudience’s maximum liability, its directors, employees, agents and affiliates shall be subject to damages for any reason and all Customer’s maximum remedies, regardless of the form of action, whether contract, tort or otherwise, shall be limited to charges for a product or service, Provided that you notify us of any such claim within 30 days. In no event shall OptimizingAudience be liable for any loss of data or content, loss of profits, business interruption, or any indirect, incidental, special, consequential, consequential or punitive damages arising out of or relating to products or materials or services provided by OptimizingAudience, OptimizingAudiness possibility of such damages, and despite the failure of the essential purpose of any limited remedy.
Modifications to Terms & Conditions
OptimizingAudience reserves the right to update and change the Terms and Conditions from time to time without notice. Any alterations to Products or Services shall be subject to the Terms and Conditions. Continued use of a Product or Service after any such changes shall constitute your consent to such changes.
